In order to register the change of the predominant activity, it is necessary to submit to the Register of Business Entities the decision of the competent body of the company on the change, the registration application as well as the proof of payment of the registration fee. In the event that the approval or consent of the competent authority for performing the activity is required for the specific activity you are registering, it is necessary to submit that approval or consent.

Is it necessary to submit a certificate from the competent inspection services on the fulfillment of the spatial conditions for performing the activity?

Not. Such a need is not submitted to the Register of Business Entities, except when the law stipulates that such a certificate must be obtained for the performance of certain activities.

Which body in the company makes the decision to change the activity?

Depending on the legal form of your company, the decision to change the predominant activity is made by the company's assembly, partners or general partners.

Is the performance of activities in foreign trade registered?

Not. Neither the Law on Companies nor the Law on Foreign Trade provides for the obligation or possibility of registration of these activities. This means that the performance of activities in foreign trade, both as predominant and as secondary, is not conditioned by registration.

Is it necessary to change the Founding Act when there is a change of activity?

It's necessary. As the Founding Act determines the predominant activity of the company, when there is a change in that activity, the Founding Act in that part is also changed.
